The forecast of rain didn't deter this optimistic group.

Thank you, Mary Jo for leading us on another of your great outings to see the city of Chicago, listen to beautiful music, and experience the "L." This was the third time I had the pleasure of joining this ride. For those interested in a more complete description of the route, please click on the link to the August 2011 newsletter. The weather forecast called for the possibility of a shower and the timing could not have been better. We were all able to keep dry under the umbrella of an information booth next to where we had locked our bikes while we ate lunch and listened to the orchestra. There was a brief discussion about modifying the planned route and the shower passed. We were all happy that we were able to complete the tour as planned. The city is making many improvements along the south end of the lake front path.

Constituion and Bylaws

Based upon Google Group postings, a previous announcement in the newsletter, and the review at the June club meeting, most of you know that the EBC Constitution and Bylaws has been undergoing a review which has led to a set of proposed revisions / amendments. In accordance with the provisions of the existing Constitution which govern the amendment process, the proposed changes are published below. At the EBC club meeting in July, attending members will be asked to vote on the amendments.

The club owes a debt of gratitude to Lew Worthem who chaired a set of three meetings while providing leadership and common sense wisdom to his committee members who conducted the review. At various times across the three meetings, the EBC Executive Board (Chuck, Gerry, Cheri, Lew, and John), as well as Mary Lee St. Aubin, Cindy Reedy, and Nancy Shack, participated and contributed. Thanks again.

To aid you in reviewing the revisions, please note the editing / color coding schema used below. Text which appears in red denotes the current text of the Constitution and Bylaws expected to be changed or deleted; black text represents the new language / text which you will be voting upon or current text which will not be changed; and text highlighted in yellow represents clarifying remarks about the rationale for the changes. So please take some time and review the proposals.

                                                    CONSTITUTION AND BYLAWS

ARTICLE I - NAME: [Current]

The name of this organization shall be the Elmhurst Bicycle Club, Inc., a not-for-profit organization.


ARTICLE I – NAME AND TYPE OF ORGANIZATION [Proposed]



The name of this organization shall be the Elmhurst Bicycle Club. The type of organization shall be a non-profit, tax-exempt organization under section 501(C)(7) of the Internal Revenue Code.

Changes: Better article name; remove colons from all article headings; make clear that this is a non-profit, tax-exempt organization.

ARTICLE II - PURPOSE: [Current]

The purpose of this organization is to promote interest in safe bicycling in all of its phases.

ARTICLE III - MEMBERSHIP DUES [Current]

Section 1. Memberships:

Subject to the following two paragraphs, membership in the Elmhurst Bicycle Club is open to anyone interested in bicycling.

1. Anyone 18 years of age or older is eligible for individual membership. An individual membership is entitled to one vote.

2. A family membership is available to all adult and youth members of a family under 18 years of age. A family membership is entitled to two votes, if two or more family members are present.

3. The Club reserves the right to cancel any membership at any time for conduct detrimental to the image of the Club; for continual failure to observe the Rules of the Road; for compromising the safety of either the member or fellow riders; or for failure to maintain equipment in a safe and road-worthy condition. Cancellation will be by a simple majority vote of the Executive Board to be ratified by a 2/3 majority of the voting members present at the next regular Club meeting. The dues for the canceled membership will be refunded on a pro rata basis.

Section 2 - Dues:

1. The Executive Board will establish a dues rate for individual and family memberships.

2. Renewal dues shall be paid by December 31st for the next years membership. Members must be current with their dues to be eligible to vote.

3. The fiscal year will begin on January 1st and end on December 31st.

4. Members who have paid dues and attended meetings prior to June, 1978 will be charter members.

5. Dues from new members who pay between October 1st and December 31st will cover the balance of the current fiscal year and the following fiscal year.

Section 3 - Waiver:

1.At the time of membership application and before a membership is effective, and upon each annual renewal thereof, each member must sign a waiver in the form as is currently in use by the Club assuming full responsibility for any accident, damage, injury, or loss incurred at any Club sanction ride or activity. 3. The Secretary will take minutes at Club and Executive Board meetings and conduct the necessary correspondence of the Club.

4. The Treasurer will prepare and keep all Club financial records and transactions, will give a financial report at each meeting, and will prepare an annual financial report. The Treasurer's records will be audited as soon as practicable following the Treasurer's term of office or as otherwise determined by the Executive Board. The Treasurer may make expenditures of Club funds for regular and necessary expenses of the Club by reimbursing Club members for funds expended by the member on behalf of the Club or by paying vendors of goods, services or facilities to the Club directly. All such expenditures by the Club shall be supported by paid receipts, cancelled checks, invoices, or other written evidence of the expenditure as approved by the Treasurer. All other expenditures of the Club funds shall be as approved by the Executive Board.

5. The Membership Coordinator will collect and approve all membership applications, transmit all dues to the Treasurer, maintain a current membership directory, maintain membership waivers and provide a mailing list solely for use by the Club.

6. Any vacancies which may occur shall be filled by a majority vote of the Executive Board, and the person filling the vacancy shall hold the office until the next election of officers.

7. Any elected office may be held by two members.

8. One person may hold two or more offices, except President.

Section 2 - Executive Board

1. The Executive Board shall consist of five elected officers, the Invitational Chairperson, and the Newsletter Editor. Any Officer or Chairperson not fulfilling that person's duty appropriately may be removed by a majority vote of the Executive Board, and a replacement to complete said term of office shall be appointed by the Executive Board.

2. The Invitational Chairperson shall be responsible for planning, directing and coordinating the Club's invitational ride.

3. The Newsletter Editor shall be responsible for preparing, editing and printing the Club Newsletter.

ARTICLE V - MEETINGS & QUORUM [Current]

Section 1 - Meetings:

1. The time and place of regular membership, Executive Board, and special

meetings shall be determined by the Executive board.

2. The following shall occur at regular membership meetings in an order determined by the President: Call to Order; Secretary's Report; Treasurer's Report; Vice President/Ride Captain's Report; Newsletter Editor's Report, Membership Chairperson's Report, other Chairpersons' Reports; Announcements and eneral Business; Adjournment; and Program.

Section 2 - Quorum:

A Quorum for membership meetings shall consist of thirty voting members. A quorum for Executive Board meetings shall consist of four members. Action by the Executive Board may be by written or electronic means in lieu of a meeting; however, in such case action may only be taken upon the majority vote of the entire Executive Board.

ARTICLE V - MEETINGS & QUORUM [Proposed]

ARTICLE VI – COMMITTEES [Current]

Section 1 - Standing Committees:

Standing Committees will be Publicity, Safety, Librarian, Advocacy, Program, Invitational, Database Manager, Historian, Route Librarian, Website, Newsletter Collating, and List Server. With consent of the member, Newsletter Editor and other committee chairpersons shall be appointed by the Executive Board.

Special committees may be established as needed by the President or Executive Board.

Election of officers shall be held at the November Meeting for a one-year term.

The nominating committee, appointed by the President, shall present a list of candidates for the offices to be filled at the October meeting. Additional nomination, with the nominee's approval, may be received from the floor up until the time of election. Election is by a majority of members present. All officers shall assume their positions on January 1st.

ARTICLE VII - ELECTIONS [Proposed]

No changes are proposed.


ARTICLE VIII - AUTHORITY AND AMENDMENTS [Current]

Section 1 - Authority:

The authority for all matters of procedure not covered by the Club's constitution shall be Robert's Rules of Order, Revised.

Section 2 - Amendments:

These articles may be amended by a two-thirds vote of members present at a regular meeting, provided that the proposed changes have been presented at a the previous regular meeting and also printed in the Club Newsletter immediately preceding the regular meeting at which the vote is to be taken.

ARTICLE VIII - AUTHORITY AND AMENDMENTS [Proposed]

No changes are proposed.


ARTICLE IX [Current]

The Club may be dissolved by the vote of two-thirds of the members present at a special meeting of the Club called especially for the purpose of dissolution of the Club on a date not less than thirty days after the call for such meeting is published in the Club Newsletter.

Community Activities

   

Addison Park District

Sam Gunda, Ray Dal Lago, and Lew Worthem at

June was a busy month for all kinds of EBC activities. Members went on a ton of rides in and out of state; and members generously also gave of their time for various community events.

The Addison Park District event attracted riders from within and outside of the club. Sam Gunda was instrumental in encouraging EBC participation; and that led to EBCers leading rides, promoting the club, and volunteering other assistance on a beautiful day … as you can see at the left.

Bike to Metra week was another opportunity for EBCers to promote bicycling in general and the club in particular. The EBC banner was proudly displayed at an area Metra train station every work day that week. Active Transportation Alliance provided goodie bags which EBC members gave to commuters who biked to the station. Members also answered questions and provided biking related printed material, including DuPage County Regional Bikeway maps.

The Elmhurst Farmers' Market is held every Wednesday from June through October from 7 a.m. to 1 p.m. EBC hosts a bicycling information table there every 3rd Wednesday of the month. There is a lot of information on the table for people to take if they want, including maps of the Salt Creek Greenway Trail and the DuPage County Bikeways maps. EBCers answer questions and chat up the benefits of biking to all who stop by. In addition they give free coffee coupons (courtesy of Elijah's Coffee House) to any adult who rides his/her bike to the market, and free ice cream cone coupons (courtesy of the local McDonald's) to any child who bikes there AND wears a helmet.

The June workers were Bob Hoel, Sharon Hermach, Chuck Dean, Cindy Reedy, Joanne Dezur and Cheri O'Riordan. The next time the EBC booth will be at the Farmers' Market is July 18th.

Board Minutes
June 14, 2012

  1. President: The Board Meeting was called to order at 6:15 p.m. at the Community Bank of Elmhurst.
    • The President stated that Gary Beardsley, the new member in 2011 who rode the most miles, did not receive an award during last month’s Annual Awards Program. The President called Gary to apologize and stated that he will be recognized with his award.
    • The Board approved the motion, “I move that that the Board support Bob Hoel’s suggestion of awarding three annual $25 gift certificates to club members who contributed the most volunteer hours to club supported community events in 2011.” As Advocacy Chairman, Bob has removed himself from this recognition.
    • The President asked the VP/Ride Captain to develop a Standard Operating Procedure (SOP) for the tracking, ordering, etc. of awards. He suggested that it would be a good idea for the Executive Board and committee chairmen to do the same with positions they hold. This would make it easier for future position holders.
    • The President reported updating a master list of members with mileage credit for jerseys. The list was given to the Treasurer and to the VP / Ride Captain.

  2. Secretary: The May 10, 2012 Board Meeting Minutes were approved. The Board Meeting Minutes can be viewed on the EBC website in the newsletter.

  3. Treasurer: In the Treasurer’s absence, the President read the Monthly Banking Summary (05/10/2012 through 06/10/2012) which listed income of $551.96. Expenses were $1,476.95. At present, the balance in the treasury is $14,314.25 with $857.65 set aside for jersey credits. The Treasurer’s report was accepted. The increase in expenses was mainly for awards. The increase in jersey credits was a combination of last year’s report of credits and the current year. The Treasurer sends out the Monthly Banking Summary on the list server.

  4. VP/Ride Captain: Ride leader jerseys have been ordered for approximately $800 and will arrive in about eight weeks.

  5. Newsletter Editor: The Editor will be out of town at the end of the month and requested for the minutes be turned in early.

  6. Membership Coordinator: There are presently 449 members: 219 individuals and 230 family members. The 2012 Membership Directory & Handbook is completed. The revisions to the club’s Constitution and Bylaws will be presented at tonight’s general club meeting for member input. A vote on the revisions will occur at next month’s general club meeting. The new revisions will then be included in the 2013 Membership Directory & Handbook.

  7. Old Business:
    • There was discussion months ago and again today about supporting the painting of a fire hydrant in Villa Park, IL since many rides transit or are initiated in Villa Park. The Board approved the motion, “I move that the club support the fee of $35 for the adoption of a fire hydrant in Villa Park, IL.” Further information regarding the painting of the fire hydrant will be obtained and presented to the Board and club members.
    • Betty Bond and Susan Sperl will solicit for sponsors this summer. Non-supporting sponsors will be removed from the website and newsletter.

  8. New Business: • Cindy Reedy discussed progress in the ongoing efforts to plan for technology changes that will affect the Ride Schedule. Planned changes will be presented to the Board for review and approval in the next several months.

  9. The next Board Meeting will be held on Thursday, July12, 2012 at 6:15 p.m. at the Community Bank of Elmhurst.

  1. President: President: The President called the meeting to order at 7:15 p.m. at the Community Bank of Elmhurst. The President expressed his appreciation to the Membership Coordinator for his time and efforts in leading the committee in the revision of the club’s Constitution and Bylaws.

  2. Secretary: The minutes of the May 10, 2012 General Club Meeting were read and approved. (Full reports are on the EBC website in the newsletter.)

  3. Treasurer: In the Treasurer’s absence, the President read the Monthly Banking Summary (05/10/2012 through 06/10/2012 listed income of $551.96. Expenses were $1,476.95. At present, the balance in the treasury is $14,314.25 with $857.65 set aside for jersey credits. The increase in expenses was mainly for the awards program. The increase in jersey credits is due to a combination of 2009, 2010 and 2011 member (47) mileage credits. The Treasurer will email the monthly Banking Summary Reports to the membership each month.

  4. VP/Ride Captain: Due to great weather, there have been lots of rides on weekends and during the week.

  5. Membership Coordinator: There are presently 449 members: 219 individuals and 230 family members. The 2012 Membership Directory & Handbook is completed. The revisions to the club’s Constitution and Bylaws will be presented at tonight’s general club meeting for member input.

  6. Mountain Bike Coordinator: 'Tuesdays with George' is filled with 12 private single track lessons for members. Chuck Gentile is assisting this year. On 6/23/2012, there will be a Kettle Moraine MTB ride for intermediates with strong fitness. On 6/30/2012, there will be an easy single track ride led by Chuck Gentile and swept by Pussanee with an intermediate ride led by George to the pool party/MTB ride/BBQ. This will be repeated on the last Saturdays of July and August. On 7/21-22/2012, there will be a trip to Brown County, Indiana for confident, intermediate riders with strong fitness as well as for advanced riders. George recounted a recent incident in Palos involving a MTB rider which lead to an injured equestrian rider. George reminded mountain bikers to give the right of way to hikers and equestrians. With equestrians, say “hello” quietly, ask if you may pass….avoid startling the horse with a shouted, “On your left.”

  7. Advocacy: Not present. (Please refer to the EBC website’s Advocacy link or to Bob Hoel for further information.) Volunteers are needed for these events.
    • June 11-17-Bike to Work week. EBC reception table at the Elmhurst Metra station on 6/12 and 6/15.
    • 3rd Wednesdays of the month, Elmhurst Farmers’ Market starting in June from 7:00am-1:00pm (in 3 hour shifts).

  8. Other:
    • Club Picnic will be held on August 18, 2012. Further details to follow.
    • Ray Dal Lago stated he will continue to lead slower rides, 8-10 mph, to entice new riders and family members. He suggested the use of the word “easy” to describe these rides instead of the word “slow” as no one likes to be called “slow”! Cindy Reedy stated she has drawn new riders with her rides of 10-12 mph.
    • Sam Gunda thanked Ray Dal Lago, Larry Gitchell, Judy Mikesell and Cindy Reedy for their participation and assistance at the Addison Park District’s Bikefest on June 10, 2012. He stated that the Addison Park District greatly appreciated EBC’s support and participation.
    • Ray Dal Lago spoke about his involvement at the Elmhurst Metra for Bike to Work Week. He mentioned Paul Punchum’s enthusiasm with the event and that we may have approximately 30 new riders.
    • Kelli Morgan reminded everyone of the MS Ride occurring 6/23-24/2012 in DeKalb, IL and thanked those members who formed an EBC team. (Please refer to the Ride Schedule for further details).
    • Baltimore Ortega reminded everyone of the training rides he is leading this weekend to assist with improving your riding skills. He also mentioned the Ortega & Gitchell Expedition 2012 Trail Ride to Wisconsin on 6/23-24/2012 (see Ride Schedule for further details).

  9. Refreshments: Many thanks to Maria Esqueda for providing the treats.

  10. Program: The Membership Coordinator presented a slide show of: the revisions to the Constitution and Bylaws which will be voted upon by the general membership in attendance at the July club meeting; and, other changes to policies and information which appear in the 2012 Membership Directory & Handbook or on the club’s website. The Membership Coordinator thanked the committee members for their participation in revising the club’s Constitution and Bylaws and the other changes. Committee members at various times across three meetings included the Executive Board, Cindy Reedy, Nancy Shack, and Mary Lee St. Aubin. Following and during the presentation, discussion and suggestions were provided by the general membership.

    A vote on the new revisions will take place at next month’s general club meeting. The revised Constitution and Bylaws will appear on the EBC website shortly after the approval vote and in the 2013 Membership Directory & Handbook when printed next year.

  11. The next EBC General Club Meeting will be held on Thursday, July 12, 2012 at 7:15 p.m. at the Community Bank of Elmhurst.
